    The Law Offices of Joseph C. Reid, P.A. represents financial institutions, state and local
governments and governmental agencies, and corporations in banking, securities, corporate and
business law. Utilizing a client-centered philosophy, specialized and efficient resources, we seek
to provide high-quality, cost-effective legal representation. Concentrating in public and corporate
finance, banking and securities law, we represent financial institutions, state and local
governments and governmental agencies and corporations in corporate, municipal and project
finance transactions as bond, underwriters’, disclosure or special counsel.

    Formed more than 20 years ago, the Firm has been listed in the "Redbook" since 1997.
Mr. Reid has more than 35 years of legal experience in the area of public and corporate finance,
including periods at Sidley Austin and McGuire Woods as an attorney in the Legal Department
of the Federal Reserve Bank of New York.

    The Firm has served as bond, disclosure or underwriters’ counsel on various general
obligation, revenue, public-private placements and other bond and note financings involving
ESD, the Dormitory Authority of the State of New York (DASNY), the New York State
Environmental Facilities Corporation (EFC), Metropolitan Transportation Authority (MTA),
New York State Thruway Authority, Nassau County, District of Columbia Water and Sewer
Authority, City of Philadelphia, City of Baltimore, the State of Maryland, and other issuers.

    In the municipal finance area, our attorneys represent issuers and underwriters in various
kinds of tax- exempt and taxable financings: serving as bond and corporate counsel for general
obligation bonds, revenue bonds, sewer revenue bonds, certificates of participation in lease-
purchase and installment purchase obligations, tax advantage leasehold-based financings,
hospital and healthcare revenue bonds, and single and multifamily housing revenue bonds. This
experience includes tax-exempt and taxable financings, new money issues, various forms of
refundings (including current and advance refundings), financings involving different forms of
credit enhancements and complex derivatives.

    Our corporate finance and securities law practice includes project finance and
securitization of mortgage-backed and asset-backed securities, and government agency securities
issued by the Government National Mortgage Corporation (GMNA).
